Universal Health Services (UHS) announced that it will acquire Talkspace, a virtual mental health care provider, for $5.25 per share, valuing the company at approximately $835 million.[1][2] The transaction will be financed with loans from the existing revolving credit facility of UHS.[1][2] Talkspace generated $229 million in revenue in 2025 and conducted more than 1.6 million therapy and psychiatric sessions.[1][2] The company has a network of approximately 6,000 licensed providers and its services are available to more than 200 million policyholders.[2][5] UHS operates more than 340 inpatient facilities in 40 states.[7] The deal has been unanimously approved by both boards of directors and is expected to close in the third quarter of 2026, subject to Talkspace shareholder and regulatory approval.[1][2] The acquisition should be modestly accretive to adjusted net income per diluted share in the first 12 months after closing.[1]
