Simulations Plus has entered into a definitive agreement to be purchased by Altaris affiliates in an all-cash transaction valued at approximately $375 million. Simulations Plus shareholders will receive $18.50 per share, representing a 26% premium to the 60-day volume-weighted average price as of June 15, 2026. The company's board of directors unanimously approved the acquisition, which is subject to customary closing conditions including shareholder and regulatory approvals. The transaction is expected to close in the fourth quarter of 2026. Altaris plans to combine Simulations Plus with Chemical Computing Group (CCG) from its portfolio to create a more comprehensive biosimulation platform for drug discovery and development. Following the acquisition's closing, Simulations Plus will become a privately held subsidiary of Altaris with its main office remaining in Research Triangle Park, North Carolina, and its shares will be delisted from the Nasdaq Stock Exchange.
